Information one comes across in honest DD or by chance is not a bais for a possible insider information violation. If for example, you performed good DD and came across such information, on your own accord, that does not constitute any wrong doing.
So the accusations of insider trading or references to them could be deemed as a serious offence in that the US is well-established as one of the stricter countries when it comes to insider trading.
