I agree with you in these terms. That was a good explanation. The key to a RS is whether or not the company intends to issue more shares. In most cases, you do not know what their "true" intentions are. I prefer to stay clear of RS's. I will hold CXAC as long as Jorge does not indicate he has intentions of an RS.
