A buy-back is different than a buy-back with retirement.

A buy-back of shares means the company puts those shares in their treasury. They could use them later as they like. Many big board companies buy-back shares to boost PPS, then sell back to market when the PPS is higher.

A buy-back with retirement means the shares are taken out of the O/S and sent to the TA to be taken out of the A/S. These share are no longer available. They have been retired.
