Jet, it seems none of the shareholders here are concerned over whether or not these forms were filed... so why are you? This is an individual responsibility, just like filing one's personal income taxes is an individual responsibility, not something the company is required to do for its officers. I trust these individuals know the reporting requirements and will deal with them as appropriate if and when they are required to report their holdings to the SEC.

This is something that will affect the individuals, not the company, so therefore it's not really an issue, but you seem to be foaming at the mouth over this... why is that?

Of particular note is the 4th paragraph, which reads:

Insiders must file a Form 5 to report any transactions that should have been reported earlier on a Form 4 or were eligible for deferred reporting. If a Form must be filed, it is due 45 days after the end of the company's fiscal year.

Jet, you should do some DD on what constitutes eligibility for deferred reporting, since you're apparently the only one who seems to have an issue with this. You might also want to look into reporting requirements for unregistered or restricted securities. Please don't ask me to post anything on this, because it's not an issue for me, and therefore I don't really care if you get satisfaction on this or not. I might just go ahead and put you on ignore, as the incessant complaining about what's really a non-issue to the company is getting rather old. If you were a shareholder, I might suggest you sell your shares before someone got the impression you might be rabid.

Since you apparently enjoy creating mountains out of molehills, you might enjoy finding out if these individuals also filed their personal income tax returns on time. That's another non-issue for the company, but I'm sure you could turn it into a discussion here and spin it as though the company's future depended on it.
