UVCL going to keep buying averaging in my price - they did this before and came back with a new business- price last time was down to .01-.04 when they closed there newmedia business then it hit a high of $1 -$1.50 after they started Univercell -looking at the price history comparing these events

CURRENT BUSINESS INFORMATION: UniverCell Holdings, Inc. offers telecommunications services in international travel market. Through its wholly owned subsidiary, UniverCell Global Phone Rental, Inc., the Company provides international cell-phone rentals to business, student and non-commercial travelers.
In addition, the Company provides other services, including transferring the customer's contacts from a personal phone to a rental phone, international call forwarding from up to 10 U.S. numbers and a U.S. based toll-free number.
HISTORICAL BUSINESS INFORMATION: The Company was incorporated in the state of California in August 1989 as Hypermedia Communications, Inc.
Prior to September 1999, the Company?s primary operations consisted of producing NewMedia magazine.
In September 1999, the Company ceased publication of NewMedia magazine in order to develop www.newmedia.com, a vertical portal that featured information and/or services for a specific, well-defined class or community of consumers or professionals. The website specifically targeted website designers. The website launched in January 2000.
On October 17, 2000, the Company announced that it suspended operations, laid off most of its staff, and began to explore options to sell the Company or its assets and to effect an orderly wind-down of operations.
On December 6, 2000, the Board of Directors and shareholders approved the sale of substantially all of the Company's assets, including its web site, www.newmedia.com, and related media assets and mailing lists, to Internet.com Corporation.
The Company entered into a Stock Purchase Agreement and Share Exchange with UniverCell Global Phone Rental, Inc. on September 26, 2001. The Agreement was approved by the unanimous consent of the Board of Directors of the Company and UniverCell Global Phone Rental, Inc. on September 28, 2001. In addition, in accordance with the Agreement, the Company changed its name to UniverCell Holdings, Inc. The Agreement was completed on December 14, 2001. Per the Agreement, UniverCell Global Phone Rental, Inc. became a wholly owned subsidiary of the Company.
The Company changed its trading symbol from NMNW to UVCL on October 2, 2001.
In December 2002, the Company's board of directors approved the increase in the Company's authorized shares from 50,000,000 to 200,000,000.
MISCELLANEOUS BUSINESS INFORMATION: As of September 30, 2002, the Company reported an Accumulated Deficit of $(709,939) and Total Assets of $1,192,815.
