Merger and Acquisition Activity:

After completing a review of the
preliminary business plan, Lazard and the Debtors decided to explore the sale of several of the Debtors’ non-core assets. Lazard has worked closely with management to develop marketing materials and create alist of potential acquirers to approach in a process to identify a stalking horse bidder. Additionally, Lazard professionals created and presented various presentations for the Board and creditor constituents to explain the rationale for the divestiture and to provide a description of the anticipated process timeline.

The sale processes are ongoing.
