TDGI (.0055) – DD Abridged Compilation Post –

FIND OUT WHAT THE BUZZ IS ALL ABOUT. Up 240%+ today

Make sure you mark the board: http://investorshub.advfn.com/boards/board.aspx?board_id=5223

So TDGI was up 243.75% on Monday, and your wondering “Am I too late to chase?”. Well take a look at some of the DD compiled here and decide. Quite honestly, TDGI will be over .01 on Tuesday and may climb even higher this week. TDGI is a reverse merger play, the most profitable type of Pink Sheets play.

Take a look at some of the staggering gains over the past few years of some Reverse Mergers: http://investorshub.advfn.com/boards/board.aspx?board_id=7308
TDGI is already among those runners, and may end near the top… a historic runner. There is tons of DD to be had with some time spent digging, and I will only share the story of what is going on here, and will continue to connect the dots throughout the week and weekend.

Before I get started, I would like to thank Alexindef(http://investorshub.advfn.com/boards/profile.asp?user=68050) for bringing this one to my attention!

Ok, So TDGI was a dormant shell up to Feb 18th, 2009, when it became the target of a Reverse-merger and changed it’s SOS to Wyoming:

No news or info was released. Then on April 13th, there was a name change and symbol change: http://investorshub.advfn.com/boards/read_msg.aspx?message_id=36966841

Normally this would be accompanied by some sort of reverse split, considering TDGI was trading at the subber level, yet there was none. There was no activity until June 2nd, 2009, when the new company finally released an initial disclosure on

PinkSheets : http://pinksheets.com/otciq/ajax/showFinancialReportById.pdf?id=21554 .

This disclosure went unnoticed until this past week.
First thing you will notice is TDGI is looking to getting into a few niche markets. They have a MEDIA division to focus on HD content programming and the other division to focus on :acquisitions in the Website Marketplace, Real Estate, and Green/Alternative energy market.

So that is the business side, more of that to come in another post at another time.

Share Structure
Here is something that caught my eye. First off, the Transfer Agent is ungagged and has provided an updated Share Strucuture as of June 28th, 2009 of:
Shares Outstanding: 150,870,610
Float: 57,667,870
http://investorshub.advfn.com/boards/read_msg.aspx?message_id=39135655

The Share Structure has remained the same for a year! So the SS is tight, but now take a look at the disclosure and read carefully:
Our executive officers, directors and stockholders who own or control more than 5% of our outstanding common stock together control approximately 95% of our outstanding common stock.
95% of the O/S!! That leaves us with approximately 7.5 million shares in the float!!!!!! Huge IMHO

Officers and Directors
This is the part that really struck me. Take a look at the two bios for our CEO and his partner. I haven’t seen resumes like these on a pinksheet CEO in quite some time.

Alan J. Bailey just left Paramount as a VP in 2009, one of the most successful Hollywood studios. He was an executive there and he would come to be part of a PinkSheets company??? hmmmmmm. And our CEO was : CNN both as a “live on-air” operator, as well as “on air” control for CNN International. Additionally, Mr. Boyd-Smith worked as a production manager for Turner Broadcastings’ inaugural 1986 Moscow “Goodwill Games”. He also “He has served as a high level confidential consultant to leading investigative agencies, law firms and Fortune 500 companies on matters of divestitures, acquisitions, complex litigation and matters of corporate fraud, international business intelligence, proprietary secrets and security.”

Here is the full Bio’s:

Timothy J. Boyd-Smith, CEO

Mr. Boyd-Smith attended Engineering school at The Rushgreen College, Rushgreen, England, following prior instruction at Bishop Ward School, England. Traveling extensively throughout Western Europe, the Middle East and Africa in 1984, Mr. Boyd-Smith moved to Atlanta, Georgia, where he secured employment with CNN both as a “live on-air” operator, as well as “on air” control for CNN International. Additionally, Mr. Boyd-Smith worked as a production manager for Turner Broadcastings’ inaugural 1986 Moscow “Goodwill Games”.
In 1987, Mr. Boyd-Smith rekindled his interest within the investigative arena and pursued private investigations. Mr. Boyd-Smith was recruited by Kroll Associates, Los Angeles office, where he managed special projects. During this time Mr. Boyd-Smith worked very closely with Kroll’s Vice-Chairman, Mr. Brian Jenkins on numerous international business matters.
Mr. Boyd-Smith has over 30 years experience and contacts within the international business arena. He has served as a high level confidential consultant to leading investigative agencies, law firms and Fortune 500 companies on matters of divestitures, acquisitions, complex litigation and matters of corporate fraud, international business intelligence, proprietary secrets and security.
In January of 1997, Mr. Boyd-Smith joined Celestial-Based Communications Group, as a full time consultant to senior management. Responsibilities included coordinating the start-up, business development, ultimate IPO and ongoing due diligence for this closely held Asian conglomerate. Updated on

Alan J. Bailey.

Mr. Bailey is a veteran of the entertainment industry with 35 years of senior level corporate finance experience providing individual film and film slate financing, asset securitization financing, key deal analysis and financial planning, worldwide cash operations and bank management, corporate tax planning, internal audit operations and financial compliance. He has also been instrumental in securing film project financing from multi-million dollar production incentives offered by most US States and by key foreign governments
Prior to joining Target Development Group, Mr. Bailey served as Senior Vice President and Treasurer at Paramount Pictures from 1975 through 2009 , one of the most successful Hollywood Studios, with such classics as the Godfather trilogy, Forrest Gump, Saving Private Ryan, Titanic, Transformers and The Curious Case of Benjamin Button. Mr. Bailey joined Paramount Pictures from its parent, Gulf + Western Industries, where he served as Vice President in charge of offshore financial operations. Prior to Gulf + Western Industries he served in public accounting with an affiliate of Ernst & Young and with Grant Thornton as a senior audit supervisor.
In addition to his extensive experience and knowledge of project and asset financing, Mr. Bailey has successfully executive produced and distributed several TV series and lower budget motion pictures, and is the co-producer of the annual International Action on Film Festival which takes place in Pasadena, California each July with more than 500 film submissions and more than 20,000 attendees.
Mr. Bailey is a Fellow of the Institute of Chartered Accountants in England and Wales and is an Operating Partner in Transworld Capital Group which specializes in structuring complex financial transactions, building intrinsic value in corporations and executing cross-border deals, particularly between China and the US, with a team of professionals with more than 70 years of combined experience as entrepreneurs, investment bankers, strategic advisors and senior executives.

So how is this company funding itself, dilution??? NOPE!
All Development activities are borne by the Company and funded from the proceeds from private investors.

That is a snapshot on what’s going on here. Tons more DD to come. That is enough to get me excited.

Now here is the chart. Looks like Blue Skies now that we broke the 50 and 100dma and busted the Top BB:

Last KICKEr for you folks. In the disclosure it states that financials will be out on or about June 3oth. Could be the Match that lights the Keg of dynamite IMHO.

Quick Questions to ask yourself:

Why would a company complete a reverse Merger on a stock trading in .000’s without enacting some type of reverse split?

Why would the VP of a major Movie Maker leave an executive position to Join TDGI?

How can 95% of the O/S be held by insiders and directors, leaving us 7.5 million shares in the float?? Yet over 7.1 million traded today and 5 million on Friday?

GLTA ~ I urge you to read the disclosure yourself.

I’ll have more out over the next few days…
