It's tax season. late doesn't matter. they will have their filing and everything will be up to date in the next 10 days.

This is not your typical shell because it is governed by a definitive agreement which has been filed. You need to read sarbanes oxley & the SEC guidlines and regs about shells that are in a definitive agreement. fyi.
