Like everbody else, I'm just guessing re Carpenter's surprising downgrade, but the explanation offered by Ellix and Data Rox seems the most logical. Here's what Ellix posted, and what Data Rox agreed with:

"Someone posted that Carpenter holds long shares and that he is not allowed to go against his own recommendation. If he wants to sell for a profit, then he has to downgrade at least to a "neutral". That seems to be the best explanation to me. But it certainly sucks!"
