Snaper was given 1,004,055 shares of the Common Stock for the patents. I see listed 100,000 shares for pipelink, 100,000 shares for alloy sensor, that leaves 804,055 for the battery patent!

Form: 10KSB Filing Date: 7/9/1999
In June 1998, the Company acquired its patent rights to its alloy sensor technology from Mr. Alvin A. Snaper, a director, Vice President, Secretary and Treasurer of the Company, in exchange for 100,000 restricted shares of the Common Stock of the Company.

In June 1998, the Company acquired its patent rights to its pipeline connection technology from Advanced Transmission Line ("ATL"), a Nevada limited partnership, in exchange for 100,000 restricted shares of the Common Stock of the Company.

Form: SC 13D Filing Date: 10/15/1998
TEM 3. SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION
