If Wavexpress were being shutdown in its entirety would that be a material event which would require a filing of some kind?

I was wondering also if what was happening here was just that TV Tonic was being shut down. If, and this is a BIG if, someone were buying or licensing the technology if may be that they have no interest in operating TV Tonic
