I thought it interesting for the pessimists because this tells us that CMKX has known all along what the O/S is and Urban has been using it to his advantage!
New Company Checklist!
These are items that had to be supplied by CMKX to
PACIFIC STOCK TRANSFER COMPANY:
1. Resolution of Appointment, completed and signed
2. Certified Copy of Articles of Incorporation
3. Certified Copy of any and all amendments to date
4. Current certified copy of filed list of officers
5. True and correct copy of by-laws as at present in force
6. Complete list of issued and outstanding securities of the corporation, including date of issue, certificate number, registered name, address, and social security number of registered owner, and amount of securities. THIS LIST IS TO BE CERTIFIED AS TRUE AND CORRECT BY PREVIOUS TRANSFER AGENT!”
7. All transfer records for the company. Including transfer sheets, cancelled certificates, stop orders, correspondence, etc…
8. Capitalization history of the company
9. Opinion by counsel for the Corporation covering validity of outstanding securities referred to in Resolution of Appointment and their registration or exemption from registration under the Securities Act of 1933 as amended.
10. Cusip# _____________
11. Copy of Prospectus (if we are ordering CUSIP number)
12. Signatures of signing officers for certificate printing
13. Notification to DTC (Done by transfer agent)
