WAVEPOWER NET INC - Letter of Intent for Acquisition and Reorganization

WavePower.Net Inc. ("WPDN"), a development stage company going forward by
acquisition to further grow its earnings, is pleased to announce a Letter of
Intent to purchase 100% of a private Nevada corporation named Emission Controls
Corp. ("ECC").

WPDN will place ECC in a business model to grow WPDN forward. Details on
acquisition and the Reorganization agreement will be announced within the next 7
days. The exact language of the Letter of Intent follows:

LETTER OF INTENT This Letter of Intent is by and between Wavepower.Net, Inc, a
public Delaware corporation (hereinafter, WPDN) and Emission Controls Corp, a
private Nevada corporation (hereinafter, ECC). WPDN and ECC are collectively
referred to in this Agreement as the "Parties". It is the intent of the parties
to accomplish the following:

1) It is the intent of WPDN to obtain all ECC patents world-wide through
acquisition of ECC, as represented in that certain

Agreement entitled Reorganization Agreement. 2) It is the intent of WPDN to
exploit the patents by means of a

world-wide marketing system. 3) It is the intent of WPDN to pay Syd Cooke and/or
nominee a

royalty of three percent (3%) of the total net profits after income tax of WPDN
to a maximum of one billion

($1,000,000,000) dollars. 4) It is intended that ECC shall be acquired by WPDN
as per the

above mentioned Reorganization Agreement for fifteen million (15,000, 000)
shares WPDN common stock. Said acquisition shall

be a tax free exchange as represented by said Agreement. 5) It is the intent of
WPDN to use management's best efforts to

grow the company by raising debt bonds under US Federal Law in the area of
emissions control using the scope of the patents
