The only hole I see in your argument is that

1) this is an option to buy back those shares. It need not be executed. M&M hold about 22M shares total. If the stock price is at .20 in 2 years, do you really believe they will buy back 270M shares at .018?

2) the 8K doesn't specify that the shares will even be retired. It's possible M&M will still own the shares just through a different company. After two years, these shares will be fully unrestricted by default.

The simplest explanation is always the best.
