...EGAN caused the 1,800,000 shares issued to his nominee to be deposited directly into a trading account in total and complete disregard of, and in direct violation of, the terms of the Asset Purchase Agreement, thereafter beginning to sell the said shares into the public market without first meeting the earnings requirements specified in the Asset Purchase Agreement, diluting the number of shares in the public float, and that unless restrained and enjoined, Plaintiffs allege that the said Defendant, EGAN, will continue to sell said shares into the public market in direct contravention of the said Asset Purchase Agreement.
