NOTICE IS HEREBY GIVEN that a Special and Annual Meeting of the Shareholders of MB Tech, Inc. will be held on Tuesday, May 20, 2008, at 11:00 a.m., at the offices of Snell & Wilmer, L.L.P., 3883 Howard Hughes Parkway, Suite 1100, Las Vegas, Nevada 89109, for the following purposes:
(1) To elect one (1) director from among such persons as might be nominated to stand for the election from the floor at the Meeting to serve as the company’s sole director until the next annual meeting of the Shareholders of MB Tech, Inc.
(2) Such other business as may properly come before the Meeting.
