I do not understand what you mean when you say "want to get an employee". You mean they may be too generous with options when they want to sign new talent?

In general, I think it is sensible to give the committee some discretion.

Also in general, I regard options as a necessary evil. Necessary for a company operating within the culture of Silicon Valley to attract, hold and motivate talented employees. Evil because they are under-reported to shareholders and the market, they cost shareholders too much, and both the strategic and tactical decisions of directors and managers can be adversely affected by self-interested calculations about the timing of options.

Also in general, I think shareholders should keep a careful watch on options and given that proxy votes will give the AMD board a majority in any vote, it does no harm for individuals to vote against - just to let them know that someone is watching.
