I suspect the number of shares outstanding may exceed the authorized shares. This vote will never happen as the houses have floated shares beyond the books total. This happens often and nobody ever reconciles the shares.

The stock ledger not used in the present day and houses will advance shares in order to continue business.

Calling a shareholder vote with proxy is going to expose the naked shorts if this is the case.

Beware of the fight to cover this dirty secret.
