The corporation does not have to vote its shares for anything. Any outstanding share not produced in a proxy fight IS AUTOMATICALLY AN EFFECTIVE VOTE IN FAVOR OF THE COMPANY. And that is what I was talking about. In a proxy fight you must produce over 50% of the outstanding shares. PERIOD!

That does not hold in a duly called shareholders meeting where a majority of votes holds. THE TWO ARE NOT THE SAME as I specifically pointed out. If you don't know what you are talking about, at least be quiet and don't mislead the others with your pontification.
