owl, here is my "proof"...

Under the terms of the proposed settlement agreement in the class action, the Company's D&O insurance carrier will make a cash payment to the class of $2,300,000...

Pursuant to the proposed settlement in the derivative action, the Company's D&O insurance carrier will pay $60,000

The limit on their policy is only five million...

Maybe you don't consider almost half the coverage gone after just the first bite at the apple... BEFORE A SINGLE FINE HAS BEEN LEVIED...
