July 20, 2007 Order Instituting Proceedings and Notice of Hearing Pursuant to Section 12(j) of the Securities Exchange Act of 1934, the SEC investigation alleges that:

Instapay SYstems, Inc. (CIK No. 846494) is an expired Utah corporation located in Chula Vista, California with a class of equity securities registered with the Commisission pursuant to Exchange Act Section 12(g). Instapay is delinquent in its periodic filings with the Commision, having not filed any periodic reports since it filed a Form 10-QSB for the period ended September 30, 2004, which reported a net loss since inception of $3.1 million. As of July 12, 2007, the company's common stock (symbol) "IPYS") was quoted on the Pink Sheets, had fourteen market makers, and was eleigible for the piggyback exemption of Exchange Act Rule 15c2-11(f)(3).
