I think the 15-12g was an attempt to save the shell at the last minute. What sucks is if they had filed the form when IPYS originally became a shell back in 2004 none of this would have happened. Maybe there is a chance it could come back in another form someday though I haven't found any that suffered this fate that have.

On October 17, the Securities and Exchange Commission (SEC) revoked the registration of each class of registered securities of Instapay Systems, Inc. for failure to make required periodic filings with the Commission. Without admitting or denying the findings in the order, except as to jurisdiction, which it admitted, Instapay consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to Instapay Systems, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-1 and 13a-13 there under and revoking the registration of each class of Instapay's securities pursuant to Section 12(j) of the Exchange Act. This order settled the charges brought against Instapay in the Matter of The CattleSale Co.

I never heard back from the company and have not checked on it since. I don't know much about this company, but those who hold shares may do very well once the legal matters are completed. The company chose to deregister with the SEC and delists its shares. Now, they don't need to get their financials up-to-date until they are ready to reregister again. The company appears to be working on it so it's a wait and see; check the filings, and try contacting them or the lawyer involved for some information. I'll see what I can find out. GLTA

I am however a huge bagholder I guess, I had this stock back when it was an actual company, and held on after Kryptosoma left as the thoughts of a shell & reverse merger intrigued me.

After the 15-12g and press release where they said they were in talks with prospective partners I was having visions of a .001 to 3.16 shell boom like last time when they went from Filmagic to IPYS... I guess that isn't going to happen now which really sucks LOL

What happens to my shares, will my online brokerage hold on to them for as long as I want, and if they do try to re enter the market someday will they be automatically be reactivated again? From research I've done tonight it seems I can either hold them with the very remote possibility they might someday return to the market in some form, or get a letter declaring them worthless for a tax write off?

Hi, as of yesterday ipys / ipys.pk is no longer listed on yahoo finance, pinksheets, or on any of the major brokerage sites like Etrade. Is this a procedural thing related to the deregistration where it will be back on the pink sheets / gray market in a few days, or does this shell no longer exist? Any info would be great, thanks.

It could result in the company’s favor or at worst it could result in the prior director’s favor resulting in a financial burden to the company. For phone communication or voice mails, the following number shall be effective immediately 714-580-7469, which is currently the voice mail number for the board director R.B.Harris.


The company is currently in negotiations with individuals interested in both assuming the operations of the company, as well as bringing potential business opportunities to the company. The company has been in a dormant state since the cancellation of the Kryptosima business.

Instapay SYstems, Inc. (CIK No. 846494) is an expired Utah corporation located in Chula Vista, California with a class of equity securities registered with the Commisission pursuant to Exchange Act Section 12(g). Instapay is delinquent in its periodic filings with the Commision, having not filed any periodic reports since it filed a Form 10-QSB for the period ended September 30, 2004, which reported a net loss since inception of $3.1 million. As of July 12, 2007, the company's common stock (symbol) "IPYS") was quoted on the Pink Sheets, had fourteen market makers, and was eleigible for the piggyback exemption of Exchange Act Rule 15c2-11(f)(3).

Confirmed with CEO that IPYS has no business operations at present, it is a shell.

No business operations since 2005.

Not able to comment at this time on current plans for the IPYS shell.

Any information about the direction of the Company will be released to the public when appropriate.


Interesting that he did not say when asked if they are seeking merger partners, only that there is no comment at this time.

Remember that IPYS is already experienced with reverse mergers so it is a traveled road for them, this one is a keeper at these fire sale prices, may be something going on here.
