The major difference between 5% and 10% holder is that the 10% holder becomes a “Principal” holder and all kinds of restrictions in terms of selling (i.e rule 144) suddenly applies. In addition all the disclosure rules will also apply. You buy or sell, you file. There are other restrictions as well

5% owner just need to disclose when they become 5% owner and after that once a year. No need to file for buying and selling if change in ownership is less than 5%. No other restriction
