Yanmar...My understanding of the vote is that for the BOD, non-voter's proxys are voted in favor of company recommendations, so the BOD got a lot of votes from holders that didnt vote at all
In the case of the options, only actual votes that were cast are counted & abstentions are votes... counted as "no", the result being that they required a "yes" majority (more than "no" & "abstain" combined) of actual votes cast, non-voters dont count for anything.
If I'm correct, the higher number of BOD votes reflect the number of non-voters who let the company vote their shares. The negative numbers seemed to be approx the same for the different issues.
Incidentally, I am personally very pleased with the entire outcome.
