Item 5.02 Departure of Directors or Principal officers; Election of Directors; Appointment of Principal Officers

Andrew Mercer, the President of Cal Bay International, Inc. resigned as President and CEO effective May 18, 2007. Subsequent to his resignation, Roger Pawson, Director was re-appointed to the position of CEO and President. Mr. Pawson's resume is available through prior filings.

Currently the Company's contact information remains the same. The Company remains fully operational and continues to maintain its property portfolio.
