They never "approve" or pre-approve anything; they only enforce after the fact. Nobody ever gets pre-authorized for anything from the SEC. Your SEC lawyers submit the proper reports and, if there is a "question", the SEC jumps into your ####. If you report at all, of course.
An exception is mergers. The SEC doesn't approve or disapprove mergers, they only oversee the paperwork. However, other government agencies may have to green-light before a merger can happen.
