It might well be the case that if the offer is rejected that the PPS would rise. If the BOD (who control the company with a majority) rejects, and give their reason it could be perseved that share value is greater or that a better offer is in the offing. A failed offer has probably already been discounted. Any immediate decline after the announcement would probably be at the hands of the MM's looking to depress prices with a chance to cover short positions at low prices and would present a huge buying opportunity...IMO
