Yesterday I made one of my rare phonecalls to the company ...to Mr. Collins & asked about voting regs. I have always had the idea that the company could vote my shares if I didnt respond but I was wrong in this case. Maybe the regs are different for different situations. Mr. Collins was not sure about the correct answer so he apparently did further research at the company & EMailed me later. Here is his answer:

"The two measures on options must be approved by a majority of those who vote on the issue (if five people vote, 3 votes are required...).

The challenge is that a vocal minority can overule an apathetic majority that doesn't vote...."

Looks like only actual votes submitted by the holders are counted. Snackman and SKS have it right. My view is that if you want to be counted as "for", you have to actually vote, it cant be done for you. I believe the "nays" will be there in full force.....JIMO on the last comment
