Defined as a Shell Company per Rule 12b-2

As of 4/12 mkt value = 554,805
O/S 70,679,798
20,288,333 Class B shares exchangeable to common 1:1

Bankruptcy payments setteled in Sept 2006
Back taxes to Canada settled 90days later

Newco bought assets assumed liabilities blah blah blah

Now open to R/M candidate for Shell
Haven't selected one yet but will actively seek out candidate

Meets Definition of "Blank Check" company - could become anything!

Had a working capital loss from operations of 108,969. May need to issue shares in future to sustain operations until a R/M occurs as they have no source of revenue going forward.

Certification of Incorporation allows for : 10M preffered & 100M common

T/A American Stock Trans/Trust Co.
Could possible issue up to 26,775,788 if needed.
