1. SPECIFIC details to be disclosed in a Form 8-K w/i 15 days.
2. Includes "reverse stock split".
3. Shareholders (SRUN) must approve transaction.
4. Form SB-2 previously submitted / now withdrawn by Staruni.
5. Impact to Hartcourt shareholders......... TBD !
