I saw this information on the other (RB) board. It is not quite correct. Read my post 237195.
IMHO it has been proven that the merger between the private Sulja Bros. Building Supplies, Ltd. Canada and Loftwerks, Inc. never happened. SLJB stock is actually the old Loftwerks, Inc. stock. The amendments with the SOS Nevada in July were name change amendments as my post above and this part of that post. They also did a name and symbol change filing with the SEC. No merger, simply a name and symbol change.
"On 07/20/06 we have an amendment that changes the companies name from Loftwerks to Sulja Brothers Building Products,LTD then on 07/21/06 we have another amendment which is once again a name change to Sulja Bros. Building Supplies. LTD"
There are no Articles of Merger amendments to SLJB in the SOS Nevada records.
This part gets a little tricky and MAY have happened. Steve Sulja was with attorneys for 5 days in November/December time frame. I believe they might have done some type of a stock transfer giving ownership of Sulja Canada to Sulja Nevada. This isn't the merger that was PR'd about a year ago but they may have tried to right the wrong. THERE HAS BEEN NOTHING CONFIRMED ON THIS, BUT I THINK IT MAY HAVE HAPPENED. No way of knowing at this time.
There were also two Loftwerks companies incorporated with the SOS Tennessee in July of 2005. Loftwerks, Inc and Loftwerks, LTD. IMHO they ran any business through Loftwerks, Ltd and sold the stock of Loftwerks, Inc on the market with no business ever being run through that company. Also, there were many false PR's and false claims made back then. Same as the two Sulja's. Represented the business (many times proven false) of Sulja Canada as SLJB. It makes sense to me that it worked with Loftwerks and they clearly did this with the two Suljas.
