I just sent this email to securities counsel, Otiko and Rich:
Dear Mr. Grace, Esq.,
I am a long time shareholder of Viaderma, Inc. ("VDRM"). I noticed that you/your office is listed as securities counsel in connection with the quarterly report of VDRM issued for the period ending March 31, 2024.
Per my review of the public records in Nevada, I noticed that Viaderma, Inc. is listed as revoked although no termination date is listed:
Entity Name: VIADERMA, INC. Entity Number: E0155292010-5
Entity Type: Domestic Corporation (78) Entity Status: Revoked
Formation Date: 04/06/2010 NV Business ID: NV20101250034
Termination Date: Annual Report Due Date: 4/30/2023
I also noticed that shortly before the Annual Report Due Date, an entity was created in California with the same name:
Viaderma, Inc., a Nonprofit Corporation - CA Mutual Benefit on 2/9/23
It appears that the Nevada publicly held entity has ceased to exist while an entity with the same name, albeit a Nonprofit Corporation - CA Mutual Benefit has been created around the same time period; the principals of both entities being Christopher Otiko.
None of this information has been disclosed in the quarterly report, although the transactions occurred and the information was available prior to publication of the report. Furthermore, I believe a reasonable prudent investor would find this information to be relevant and material and one that could affect an investment decision and therefore such information should have been publicly disclosed either via a quarterly report or a separate public disclosure.
I am hopeful that the information provided in this email is not complete and that the Company has and will provide a reasonable explanation for the revocation of the Company in Nevada and the apparent reincorporation in California.
Also we hope that the Company will update the shareholders in the near future on a very long list of public announcements concerning potential business activities over the past 7 years; none of which have ever come to fruition. In this vein, the footnotes to the financial statements have not been updated in five years and fail to comply with the company's legal obligation to disclose current relevant financial information on the business activities of the company.
