Statements from Bill Solms March 10, 2015 (ten months prior to chapter 7 filing):
“Wave is the first and only TPM software company to work with a TPM vendor certified by the Chinese government. A unique position that will help support and grow a healthy industrial chain for trusted computing. We’re very pleased to be working with Nation z to promote the industry’s international standard TPM 2.0.”
CEO Solms, “The last partner I’d like to mention is Nation z. We have a memorandum of agreement with Nation z to develop TPO 2.0 management software for them worldwide. One of the things that is most interesting to us with Nation z is their leading position providing TPM 2.0 chips in the Chinese market and we are actively pursuing full solutions with them to bundle our TPM 2.0 management software with them and also support the possibility of them being a reseller for our full software server based solutions for TPM 2.0 management.”

“As part of the agreement, Wave will offer Embassy Security Center (ESC). The solution that activates and manages TPM’s so both the user and device can be securely verified. With the agreement, the ESC solution will enable agreed upon functions using Chinese algorithms with Nation z’s TPM 2.0 chip.” Keep in mind that the new Windows 10 operating system from Microsoft mandates the use of TPM 2.0 chip with programmable algorithms geared to individual countries.
The Chinese government will only use their own programmable TPM2.0 chip with its own algorithms manufactured in their own company called Nation z. Wave and Nation z form a partnership in which Wave agrees to allow the use of its most advanced security tools for management of the TPM chip 2.0 in the Embassy Security Suite. Wave is the world’s only interoperable TPM solution.
At the same time Microsoft along with its Chinese partner CETC begin to lock down segments of the Chinese government and enterprise. “Microsoft and CETC have been working on this custom image of Windows 10 since September, 2015. It will become available to governmental organizations there in the weeks and months ahead,” stated by Paul Thurrott in Windows 10, December 16, 2015. This can only leave one to believe that Wave’s security tools are bundled in each of the TPM 2.0 chips produced by Nation z. The chips are being shipped out by the tens of millions to be used in all devices locking down China’s internet with Microsoft Windows 10. If our Embassy Security Suite was offered with Nation z, where is the contract we were told they were working on for Q3, 2015? Where are the royalties for using Wave’s security tools in ESC?
Shareholders were told via a MOU March 10, 2015:
“A formal agreement –contracts will occur in Q3, 2015.”
“Benefits from these joint efforts are expected to materialize in the third quarter, 2015.”
Plus on December 17, 2015 “Nation z and Microsoft signed s security strategic cooperation letter of intent in a common endeavor to promote the standardization and industrialization of trusted computing and to protect security information systems and information.” Note, the link between Nation z, Microsoft and Wave Systems – they all depend on one another.
As noted in the previous Micron-Wave partnership synopsis, on May 16, 2015 stockholder Larry Gordon had a private conversation with outgoing board member Mr. Bushnell. Along with the Micron deal Mr. Bushnell spoke about the Nation z agreement. Mr. Bushnell told Larry Gordon “there is very serious interest from the Chinese to deploy the programmable TPM 2.0 with the capabilities of Wave’s utility and management tools particularly for their consumer banking industry.” “Wave has already successfully demonstrated our technology and the feeling is that the Chinese could move fast on this.” “They are already discussing the level of bundling royalties which is indicative of how far along they have progressed. The implications are the projected volume would be substantial.”
Larry Gordon was told CEO Solms has meetings next week in Beijing with Nation z and Lenovo. “The outcome of the meetings will not be made public but updates to stockholders possible at the ASM on June 13, 2015 (6 1\2 months prior to chapter 7). “At the June SHM CEO Solms said Nation z will get to the market much sooner than Micron.”
Again, what happened to Wave Systems technology? Early on Nation z was eager to be first mover for the 2.0 TPM International Standards. From the onset they were convinced that our technology was superior and wanted to discuss a royalty agreement. We were told at the June, 2015 shareholder meeting, 6 1]2 months prior to Chapter 7, that Wave and Nation z were working on a contract. Can you imagine what the announcement of a contract with the Chinese would have done to the share price?
Since Wave’s TPM management security tools are the only interoperable solution in the world, we were absolutely necessary! We were needed to manage the programmable TPM 2.0 chips. The 2.0 chips were traversing across China in devices that were using Microsoft Windows 10 operating system to lock down the Chinese government. Once again, what happened to the contract we were supposed to have in Q3, 2015? Where are the royalties for being programmed into every Chinese TPM 2.0 chip being shipped out by the tens of millions?
Why were we not communicated with for eight months prior to our demise? Most important, who is doing key management for all of those TPM chips if it is not Wave?
