Hey JD, isn't a Definitive Agreement required to be disclosed as a Material Event within 4 business days ?

The fact ( as I understand it ) that either company can still bail is what puzzles me, in this case I heard the seller here demanded a higher price at closing.

What even puzzles me more is that SHMN didn't just inform the public of what actually happened, when it happened. With the share count not changing what would be the purpose of being silent as the shareholders are staring in disbelief ?
