The extension filed by YOTA could be for several reasons:

1. Delays to their 10K filing (YOTA) and integration of said numbers into the S-4.
2. Extended review by the SEC. The SEC is looking at SPAC deals much harder.
3. Accounting and Legal review of the S-4.

Votes have nothing to do with it. The Company and the SPAC sponsor entered into the agreement with a 100% commitment of the votes being in favor. Backed up by both parties with a $3M break-up fee. You don't enter an agreement like that if you don't know the votes in advance.
