No one reduced capital contributions!

You are incorrect to conclude that anyone on the JV Management Committee did!

Capital Contribution was set at $10 Milion. Never changed!

--------

You don't understand Section 5.2 of the JV Agreement.

--------

You state:
"Never made the required $1 mill down payment that was due immediately."

So what?!!

The Management Committee agreed to a different payment arrangement.

XTI Aircraft was paid $5.6M from the JV, as funded by Xerriant.

Fact.

$1M as first a payment or not.

This must have been agreed, and the $1M payment changed as originally planned, hence the ongoing relation, the ongoing JV partnership, and the subsequent Xeriant payments over time totaling $5.6M.

And, the JV Agreement contract 3.1,1 and 3.3.1 allowed for budget changes as would be first decided and agreed upon by the Management Committee.

Fact.

There was never a default notice issued by the JV, or from either XTI Aircraft or from Xeriant.

Fact.

You claim that in effect there was never an agreed Management Committee decision to accept a different Xeriant payment schedule.

This conjecture of yours is 100% unsupported.
