SEC response. Yep i turned myself in right before I quit?

Thank you for contacting the U.S. Securities and Exchange Commission (SEC).

According to our records, CGE Energy, Inc. (CGEI) filed a Form D with the SEC. You can review the Form D filing here (https://www.sec.gov/Archives/edgar/data/1144216/000114421622000002/xslFormDX01/primary_doc.xml). Form D is a brief notice that includes the names and addresses of the company’s promoters, executive officers and directors, and some details about the securities that were sold, but contains little other information about the company.

Regulation D (Reg D) contains three rules providing exemptions from registration requirements, allowing some companies to offer and sell their securities without having to register the securities with the SEC. Companies relying on a Reg D exemption are only required to file a Form D electronically with the SEC after they first sell their securities. Reg D offerings are not subject to the same disclosure obligations as registered offerings, and investors are generally on their own in obtaining the information they need to make an informed investment decision. You may find more information on Regulation D offerings here, http://www.sec.gov/answers/regd.htm.

You may also wish to check with your state securities regulator to see if they have more information about the company and the people behind it. You can get the address and telephone number for your state securities regulator by calling the North American Securities Administrators Association at (202) 737-0900 or by visiting its website at https://www.nasaa.org/contact-your-regulator/.

As you may know, OTCMarkets.com, operated by OTC Link LLC, is an electronic inter-dealer quotation system that displays quotes from broker-dealers for many OTC securities. Please note OTC Link LLC is an entity separate from the SEC, and a listing on the OTCMarket.com is determined by OTC Link LLC.
OTC Link indicates that CGEI is dark or defunct and trading only in the "Expert Market", a private market to serve broker-dealer pricing and best execution needs in securities that are restricted from public quoting or trading. For additional information about the expert market, please review the publication on the OTC market website, "Understanding the Expert Market" at https://blog.otcmarkets.com/2021/03/25/understanding-the-expert-market/. Please also see further information and guidance provided by OTC Markets at https://blog.otcmarkets.com/2021/01/26/transforming-the-otc-markets/. You may also find it helpful to review the SEC Release on the Proposed Conditional Order relating to the Expert Market at: https://www.sec.gov/rules/exorders/2020/34-90769.pdf.
We hope this information is helpful.
