Their market cap has dropped substantially. I imagine they are non accelerated if they want and we may not get 10K this month.

Public float has to be less than $700 mil which it is now….


I thought the same 2 Qs ago, but on further looking it is not quite true.

A public float over $700M is when one initially becomes a large accelerated filer. But once they are so, it takes going under $560M to transition back to an (non large) accelerated filer. See the table in paragraph 2 of this SEC explanation.

Also, the public float is determined at the end of Q2. each year.

I am not absolutely certain, but I have the public float as of end of Q2 at $630. So still a large reporting company. If so, the NT-10K is today (always due 1 day after the 10K is due for obvious reasons).

BTW, The company may elect to use the new reporting status once they have the Q2 numbers. But do not have to do so until the next 10K, so that the fact the filed as a larger reporting company in Q3 does not prove anything. Though not like LP to ever intentionally be accelerated.
