That’s beside the point. The question is why a PE firm would want to do a deal where the USW was a source of hostility from the outset. They probably wouldn’t, IMO.

Because they need to invest and make adequate returns for their shareholders. PE firms are sitting on $2.6 trillion in dry powder, and they would love to be able to invest $10-20 billion in a quality asset at one time. All deals have issues, and the USW is far from a deal killer for the vast majority of PE firms. My clients buy companies with union workers all the time (e.g., Arconic).
