It's moot given this:

What if he converted some of the shares to preferred C's before hitting the threshold

The preferred C class is designated for funding. They had already used up a rough 8700 of the 20,000 shares when exchanging legacy debt. The balance is strictly used for funding and not exchanging common shares for preferred shares with a discount. Look at this way...if anyone could buy commons and then exchange them for a different class that offered a coupon....how would that help the company. It would be more akin to a grift.
