Plaintiff paid Defendants US$5,000,000 to license Defendants’ patented invention that Defendants guaranteed
would significantly lower energy costs for consumers and businesses. However, upon use of the
invention for its intended purpose, Plaintiff discovered that the invention not only did not
significantly lower energy costs, but instead increased energy costs.

Defendants’ material breaches of the Sublicense have directly and proximately
caused Plaintiff to incur monetary damages to be proven at trial, but in no event less than
US$5,000,000, plus the costs to install and uninstall the non-working Products at Plaintiff’s facility
in multiple instances resulting from Defendants’ misrepresentations and nonperformance, plus the
Tennessee energy department report costs incurred to verify that the Products did not work as
guaranteed.
