I think that is just Lawyer talk like the other 175 pages. Just a fail safe in case. ASSUMING, which is in caps for a reason, SAGA tells the SEC what their plan is to be compliant by next Monday, it will be all moot anyway.

Maybe all they have to do is say the deal will close soon and that will wipe out their requirement to file the late 10Q's.
