Agreed, I think the public policy defense is quickly turned on its head. Such an assertion promptly leads to the obvious overriding public policy consideration: integrity of our capital markets.

Looks to me as if the DOJ has decided running viable businesses into the ground for profit, and widespread skimming of investor portfolios, needs to be curbed.
Business rule - adapt or die.
