If you are talking about the offering, they cant have an unregistered offering.

The filings are to comply with the OTC Market dates. If they didnt file, they would go Pink Limited and many brokers dont allow trading on PL stocks.

Its all to keep their stock tradeable so they can sell the offering once qualified. Its not rocket science or anything other than that.
