One of the first things I told Scott when I first talked to him was this “Don’t Dilute”. I also told him to beware of the wolves around him who may say otherwise. This was before the Carlins were terminated.

What I think was when the wolves in the room stared talking “dilution”, McAlister was already prepared. His radar was on and his antennas were up.

On my initial call, Scott couldn’t say much, so I took full advantage and gave him a lot of advice. I specifically said, “ok, if you can’t talk, I will”.

I also told him to “always take the high road”, it will pay off in the end. I told him that the OTC has a lot of scam CEO’s with no ethics”, I told him
“The only one that I know that has Ethics is George Sharp”. Since that first conversation, I have texted Scott, without getting a reply, but I congratulated him on the fact that “he has not diluted”. Additionally, I told him by one way text many a time, “the only time you want to dilute is down the road, when the stock price is higher and you use authorized shares to raise capital through a secondary offering”. Since he couldn’t say much to me, I took advantage of sharing anything I could that would benefit him and the long term outcome of the company with him. I did most of the talking since he said that he wasn’t sure what he was allowed to say or not say.

He’s a really nice guy and allowed me to talk at length. Very ethical and very considerate person in my eyes.
