In the simplest of terms when an executive of a publicly traded company wishes to purchase or sell shares of his stock, but he may have "inside knowledge" , thus these plans are set up for executives to buy or sell set amounts of stock overset periods of time. From a risk management standpoint, and the executives point of view, this allows them to escape scrutiny of market timing the transactions.

And regarding your question as to why an executive may choose not to execute stock options early? There can be a multitude of reasons it's not my job to explain it all for free how would I get fee revenue as an advisor?!?

Also, let us not forget the recent incentive stock option exercise was due to an expiration, not a free will transaction.
