The following email was sent to J Faro. Let me make it clear whether I /we have to proceed with our complaint in court or by convincing Bret and anyone else hanging on to step aside so we can reorganize and set the company back or track it is my/our intention to work for you to build significant shareholder value. Although I/we are confident we will be successful in having Bret removed from any management or director positions based on his numerous and significant violations of Delaware and Federal Securities laws, ie selling equities in a nonexistent corporation, appointing or allowing the appointment of directors to a nonexistent corporation and promoting those appointments during fund raising efforts, and failing to file corporate returns since 2015, failing to conduct any shareholder meetings for several years if at all, and committing fraud by stating and/or implying that the patents were the property of Nanologix, our efforts will be easier and much quicker if we had your cooperation. Initially that cooperation will be in collectively petitioning Bret to conduct a shareholders meeting pursuant to Delaware law. Our attorneys will draft that petition/letter there will be no cost to you the shareholders. At the very least I am 100% confident that my/our initial efforts will result in a shareholders meeting that you have been denied for the last several years.

Although we haven’t communicated since the email below as you may know I am continuing efforts to work with certain Nanologix shareholders to gain control of the company and it’s technologies.
Unfortunately as you are being named in a complaint being filed in Delaware I have been advised not to communicate with you other than to inquire if you would be interested in an all cash offer for any interest you may own in the patents. To be clear we have no interest in having any communications or dealings with Bret.
In all of our hours of conversations I always believed you to be a stand up guy. How you stand by and allow Bret to continue to destroy any value left in the technologies and disregard the shareholders is confusing to me.
Please let me know if you have any interest in discussing an offer.
