Maga what am I missing here? This sounds like a great deal to me when using the numbers you just posted. Using your calculations-

From your post:
“Before you ask, I arrived at the 14,946 based on what the PR said. They are taking 45M SAGA shares and giving to ENZC shareholders as dividend based on % ownership. If you own 1M ENZC shares, that is 0.0332134% ownership of ENZC.

0.000332134 x 45,000,000 = 14,946
14,946 X $10 pps = $140,946”




I believe you are saying if you have 1M ENZC shares your ending SAGA share value will be $140,946. (Estimated)

Today 1M shares of ENZC are only worth $50,000. (1M x .05 current share price)
You can believe they are worth more but the market only values those shares at exactly 50k.

Predeal= 50k
$50,000 total value

Post deal= 140k
$140,946 SAGA value
$0 ENZC value (estimated)


I’d trade 50k for 140k any day. What am i missing here?


Negatives:
-The new SAGA shares go to short term status for tax purposes.

-What else?



Positive:
- Dollar value of holding increases greatly (50k to 140k)

-SAGA shares have the potential to increase further in value with good results.
Does it matter if ENZC increases in value or if SAGA increases when you hold the same amount of both tickers? The growth potential seems the same to me. I don’t care if my ENZC shares or SAGA shares increase in value as long as one of them increases.

-Our assets (yes they will be ours once we receive the shares from the dividend) will now trade on a Nasdaq company instead of pinks.

-SAGA being on Nasdaq likely gives the new owner if the assets better access to funding to further our technology. Through PIPE financing or other avenues.
