Eli Lilly to Acquire Sigilon Therapeutics in Deal Potentially Worth More Than $300 Million; Sigilon Shares Surge

07:44 AM EDT, 06/29/2023 (MT Newswires) -- Eli Lilly(LLY) has agreed to acquire Sigilon Therapeutics(SGTX) in a deal potentially worth more than $300 million, the companies said Thursday.
Lilly said it will pay $14.92 per share in cash for Sigilon, plus one non-tradeable contingent value right that will entitle the holder to receive up to an additional $111.64 per share in cash.
The contingent value right puts the total potential consideration at up to $126.56 per share, valuing the deal at a potential $309.6 million, excluding shares held by Lilly, the companies said. Lilly and Sigilon said there could be "no assurance" that any payments would be made under the CVRs.
Sigilon's board recommended that shareholders accept the offer and the companies said the transaction is expected to close in Q3.
Sigilon shares climbed by more than 700% in premarket trading on Thursday.
