You are doing the readers here a disservice. Your analysis is wrong, where does it say that shareholders have to vote on the creation of APE shares from the original AMC PREFEREDS shares?

For your info the AMC board has full authority to create APE shares WITHOUT SHAREHOLDERS VOTE.
